Our Services provide a secure AI operating layer that unifies CRMs, claims systems, integrations, and workflows for insurance carriers and TPAs. You may use our Services only as permitted by law and these Terms.

You agree to:

• Provide accurate and complete information during registration and account setup
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Ensure that your use of our Services complies with all applicable laws and regulations

You are responsible for all activities that occur under your account and for all data processed through your configured workflows.

2. Privacy

Our collection and use of personal information are governed by our Privacy Policy.

By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

3. Your Data

You retain all rights to the data you process through our Services. You grant us a limited license to use, process, and transmit your data solely as necessary to provide the Services.

• Your data does not violate any applicable laws or third-party rights
• You will comply with all applicable data protection laws (including HIPAA, CCPA, and GDPR where applicable)

4. Intellectual Property

All content, trademarks, logos, and software on our website and Services are the property of Relay Vault, LLC and are protected by intellectual property laws.

You may not:

• Use our trademarks or branding without permission
• Reverse engineer or attempt to derive the source code of our software

Our Services integrate with third-party providers, such as CRMs, claims systems, and payment processors. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party providers.

7. Service Availability

We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice when possible.

Specific service level commitments, including uptime guarantees and support response times, may be outlined in a separate Service Level Agreement (SLA) for enterprise customers.

8. Disclaimers

Our Services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Services will be error-free, secure, or continuously available.

To the extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount paid for the Services in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless Relay Vault, LLC, its affiliates, and their respective officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services or your violation of these Terms.

11. Termination

Either party may terminate this agreement at any time with written notice. Upon termination:

• Your access to the Services will be revoked
• You may request an export of your data within 30 days of termination
• We will delete your data within 90 days, unless required by law to retain it

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on our website with a revised effective date. Material changes will be communicated via email or in-app notification. Your continued use of the Services constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Francisco County, California.
